Effective Date: July 18, 2025

1. Scope of Services

Creatifi Studios provides white-label creative services, including but not limited to:

• Graphic Design & Brand Identity
• Website & App UI/UX Design
• Front-End & Back-End Web Development (Full code, Low code/No code or CMS based development)
• SEO & Digital Marketing
• Video Editing & Motion Graphics

All deliverables and milestones will be defined in your project brief or proposal. Any requests outside the original scope will be quoted separately and require written approval, which may affect timelines and costs.

2. Client Responsibilities

• Provide all required materials (brand assets, content, access credentials, etc.) promptly
• Respond to queries and reviews within 3 business days
• Provide feedback on deliverables within 7 business days of delivery
• Delays caused by incomplete input or late responses may push timelines accordingly

3. Payment Terms

1. A 50-100% deposit is required before work begins
2. All invoices are due Net 30 (30 days from invoice date)
3. Payments accepted via bank transfer, Wise, Payoneer or other agreed methods
4. All fees quoted in USD; client bears any currency conversion fees
5. Late payments (7 days overdue) may incur a 5% weekly late fee
6. Final files or deployment will be delivered only after full payment

4. Revisions & Approvals

• You receive 2 free revision rounds per project phase
• A “revision” means changes to existing work; new concepts or additional features constitute new work
• Additional revisions are charged at our standard hourly rate of $75/hour
• Clients have 7 business days to request revisions after delivery
• After final approval, the work is considered complete; changes after that may require additional fees

5. Intellectual Property

• Upon full payment, you receive ownership of all final deliverables
• We reserve the right to showcase non-confidential work in our portfolio unless an NDA is in place
• All unused concepts, drafts, and source files remain our property
• We retain the right to use general techniques and know-how gained during the project

6. Confidentiality

• Both parties agree to protect confidential and proprietary information
• We are happy to sign an NDA and treat all white-label content with discretion
• Client information will not be shared with third parties without explicit consent

7. Timelines & Delays

• Project timelines depend on client responsiveness and scope complexity
• If inactive for 14 days due to client delay, we may pause work or adjust the timeline
• If inactive for 30+ days, a restart fee of 20% may apply or the project may be closed
• We will provide written notice before any timeline adjustments

8. Cancellations & Refunds

8.1 Client-Initiated Cancellation

• If canceled after work begins, you’re billed only for work completed; any unused balance is refunded
• Deposits are non-refundable once work starts
• If canceled before work begins, deposits may be refunded partially or fully at our discretion

8.2 Company-Initiated Cancellation

• If we cancel (rarely), we’ll refund all unearned payments
• We’ll provide written notice and return funds promptly

8.3 Refund Process & Timing

• Refunds processed within 5 business days of written cancellation
• Refunds issued via original payment method (unless agreed otherwise)

8.4 Notice Requirement

• All cancellation requests must be in writing (email or official message) and take effect on the date received

8.5 Fair Billing

• Within 7 business days of cancellation, we’ll provide an itemized invoice showing work done and any refunds due

9. Third-Party Services

• We may use third-party tools (stock assets, plugins, fonts, hosting services)
• You’ll be informed of any licensing fees in advance
• We are not responsible for disruptions or updates from third-party services
• Ongoing third-party subscriptions (hosting, domains, etc.) are the client’s responsibility after project completion

10. Quality Assurance & Support

• All websites are tested across major browsers (Chrome, Firefox, Safari, Edge)
• Mobile responsiveness is included in all web projects
• We provide 30 days of bug fixes for technical issues after project completion
• Support does not include content updates, new features, or design changes

11. Data & File Management

• Project files are retained for 90 days after project completion
• Clients are responsible for backing up final deliverables
• Source files (PSD, AI, etc.) are provided only if specified in the project scope
• We are not responsible for data loss after the retention period

12. Communication & Project Management

• Primary communication via email and designated project management tools
• Response time: We aim to respond within 24 hours during business days
• Project updates provided weekly or as milestones are completed
• All project changes and approvals must be documented in writing

13. Force Majeure

• Neither party is liable for delays caused by events beyond reasonable control (natural disasters, government actions, internet outages, pandemics, etc.)
• Timelines will be extended accordingly with written notice
• If force majeure events persist beyond 60 days, either party may terminate the agreement

14. Dispute Resolution

• Parties agree to attempt good-faith negotiation before legal action
• If direct negotiation fails, disputes will be resolved through mediation
• Any legal proceedings will be conducted in Dhaka, Bangladesh

15. Limitation of Liability

• Creatifi Studios is not liable for indirect, incidental, or consequential damages
• Our total liability is capped at the amount you paid for the service
• We are not responsible for loss of business, profits, or data

16. Governing Law

This Agreement is governed by the laws of Bangladesh, Dhaka Division, without regard to its conflict-of-law rules.

17. Modifications

We reserve the right to update these Terms at any time. Continued use of our services after changes indicates your acceptance of the new terms. Major changes will be communicated with 30 days notice.
